Testing the waters before you file

The most reliable predictor of a successful Reg CF raise is momentum on launch day. Campaigns that hit a large share of their target in the first 48 hours tend to keep going; campaigns that start slowly tend to stall. Testing the waters is how you build that momentum before you spend money on financial statements and filings.

What the rule allows

Since March 2021, the SEC has let companies considering a Reg CF offering communicate publicly to gauge interest before filing a Form C. You can post on social media, email your customers, and run a landing page asking whether people would invest.

Most platforms support this with a "reservation" or "pre-launch" page where people indicate how much they'd invest. Those reservations are non-binding, but they're the best data you'll get on whether a raise will work.

The rules you must follow

  • No money changes hands. You can't accept payments or binding commitments until the Form C is filed and the offering is live on a platform.
  • Include the required statements. Your materials must say that no money is being solicited and none will be accepted until filing, that any offer will be made only through a registered intermediary, and that indications of interest carry no obligation.
  • File the materials later. Testing-the-waters communications are filed as an exhibit to your Form C.
  • Anti-fraud rules still apply. Everything you say must be accurate. Projections need a reasonable basis.

Your platform and attorney will have approved language for the required statements. Use it rather than writing your own.

How to run it well

  1. Start with your warmest audience. Existing customers, email subscribers, and early supporters convert best.
  2. Set a reservation goal. Many founders aim to have 30–40% of their minimum target reserved before they launch.
  3. Learn from the questions. The objections you hear in testing will show up again during the campaign. Fix your pitch now.
  4. Decide honestly. If interest is weak after a few weeks of real effort, that's valuable information. It costs far less to wait than to launch and fall short.
